OFFICIAL RULES FOR PARTICIPATION IN THE PROMOTION «BLACK FRIDAY RIVER MALL 2026»

1. Definitions
1.1. Promotion Client — Limited Liability Company “INFORMATSIINA AHENTSIIA VILNA UKRAINA” (ТОВ «Інформаційна агенція «Вільна Україна») (hereinafter the “Client”).
1.2. Promotion Organizer and Implementing Party — Limited Liability Company “PROFI EDS” (ТОВ «Профі Едс») (hereinafter the “Organizer”).
1.3. Promotion — the promotional campaign entitled “BLACK FRIDAY RIVER MALL 2026”, aimed at promoting River Mall Shopping and Entertainment Center and encouraging purchases.
1.4. Participant — an individual who meets the requirements of Section 5 and has duly complied with the conditions of Section 6.
1.5. Promotion Prizes — three Apple iPhone 18 Pro smartphones with 256 GB of internal storage, in Burgundy, Black and Glacier (one smartphone in each color).
1.6. Fiscal Receipt (Receipt) — a paper or electronic payment document in the prescribed form, generated by the cash register or software cash register of a business operating at River Mall Shopping and Entertainment Center, containing legible seller details, date, time, list of goods/services, receipt number and purchase amount.
1.7. Registration Form — an electronic form in the River Mall mobile application through which a Participant submits information and an image/electronic copy of the Receipt.
1.8. Unique Number — a number automatically assigned to a verified Registration Form for entry into the prize draw. The number of Unique Numbers depends on the amount of the relevant Receipt and the threshold applicable to the purchase category.
1.9. Winner — a Participant whose number is selected at random and whose entitlement to the relevant Prize is confirmed by the Organizer.

2. Promotion Prizes
2.1. The Promotion prize pool consists of three (3) Apple iPhone 18 Pro smartphones with 256 GB of internal storage, as follows:
• Apple iPhone 18 Pro 256 GB, Burgundy — 1 unit;
• Apple iPhone 18 Pro 256 GB, Black — 1 unit;
• Apple iPhone 18 Pro 256 GB, Glacier — 1 unit.
Each smartphone constitutes a separate Promotion Prize. All Prizes are new and will be provided in their original factory packaging and standard manufacturer-supplied contents, including the smartphone, documentation and a 1 m USB-C charging cable.
2.2. The Promotion Organizer — Limited Liability Company “PROFI EDS” (ТОВ «Профі Едс») — shall purchase the three iPhone 18 Pro smartphones, arrange the documentation and delivery of the Prizes to the Winners after verification of their entitlement, and ensure the calculation and payment of taxes and levies required by Ukrainian law in connection with the award of the Prizes.
2.3. No cash equivalent of a Prize shall be provided. A Winner may not demand that a Prize be exchanged for other property.
2.4. Warranty matters relating to the smartphones shall be handled in accordance with Ukrainian law and the documents accompanying the Prizes.

3. Promotion Period and Location
3.1. The Promotion is held at River Mall Shopping and Entertainment Center, 12 Dniprovska Naberezhna, Kyiv, Ukraine.
3.2. The Promotion period, during which purchases may be made and Receipts registered, runs from 10:00 on November 7, 2026, to 18:00 on November 27, 2026 (Kyiv time). Receipts issued or submitted for registration outside this period are not eligible.
3.3. The draw for the three Prizes will take place on November 27, 2026, at 20:00, during a live online broadcast, using a random-selection service to select from eligible Unique Numbers assigned to Participants.
3.4. The live online draw will be broadcast on the official YouTube channel of River Mall Shopping and Entertainment Center.

4. Goods and Services Eligible for the Promotion
4.1. Purchases of goods and services from retail outlets at River Mall Shopping and Entertainment Center are eligible for the Promotion, excluding currency exchange offices, provided the Receipt complies with these Rules.
4.2. To participate, a purchase must be made ON A SINGLE RECEIPT for an amount of: (a) at least UAH 2,500 — at stores and establishments within the Shopping and Entertainment Center, excluding Planeta Kino, Silpo and currency exchange offices; (b) at least UAH 2,000 — at Planeta Kino; (c) at least UAH 3,000 — at Silpo.
4.3. Amounts from different Receipts cannot be combined. A Receipt for less than the applicable threshold is not eligible.

5. Promotion Participants
5.1. Legally capable citizens of Ukraine who have reached the age of 18 by the start of the Promotion may participate.
5.2. The following persons are not eligible: owners and employees of the Client and Organizer; owners and employees of tenants of River Mall Shopping and Entertainment Center; owners and employees of advertising agencies, security, cleaning and other organizations involved in organizing, conducting or servicing the Promotion or the Shopping and Entertainment Center; and their immediate family members (spouses, parents, children, siblings, grandparents and grandchildren).
5.3. Participation is voluntary. No separate registration fee is charged for the Promotion; purchases are made at the regular price of the goods/services.

6. Participation and Receipt Registration Procedure
6.1. During the Promotion Period, a Participant makes a purchase that meets the requirements of Section 4 and obtains a Fiscal Receipt.
6.2. The Participant completes the Registration Form in the River Mall mobile application, provides accurate information and uploads a photograph/scan or electronic copy of the Receipt. Receipt registration is available from 10:00 on November 7, 2026, to 18:00 on November 27, 2026 (Kyiv time).
6.3. The Organizer checks each Receipt for compliance with these Rules. Verification may take up to 24 hours. Once registration is approved, Unique Numbers are assigned to the Participant in accordance with Clause 6.5.
6.4. Each Receipt may be registered only once and by only one Participant. Reuse of the same Receipt is prohibited.
6.5. The number of Unique Numbers (chances to win) is calculated automatically based on the amount of a single Receipt and the purchase category. One Unique Number is awarded for each full multiple of the applicable threshold: at stores and establishments within the Shopping and Entertainment Center (excluding Planeta Kino, Silpo and currency exchange offices) — for each full UAH 2,500; at Planeta Kino — for each full UAH 2,000; at Silpo — for each full UAH 3,000. Any remaining amount below a full threshold does not earn an additional number. Examples: a store Receipt for UAH 5,000 earns 2 numbers, and UAH 7,500 earns 3 numbers; a Planeta Kino Receipt for UAH 4,000 earns 2 numbers; a Silpo Receipt for UAH 6,000 earns 2 numbers. A Receipt is registered only once, even if it generates several numbers. There is no limit on the number of different Receipts that one Participant may register.
6.6. Receipts must be issued during the Promotion Period and contain the required details. Receipts with questionable or illegible information may be rejected.
6.7. The Participant must retain the original paper Receipt or an accessible original electronic Receipt until the draw is completed and, if selected as a Winner, until the Prize is received.
6.8. Returning goods whose purchase served as the basis for participation may result in cancellation of the relevant Unique Number and/or entitlement to a Prize following verification by the Organizer.
6.9. Submission of the Registration Form signifies that the Participant has read these Rules and gives the consent necessary for the processing of personal data for the purposes of the Promotion.

7. Winner Selection and Prize Delivery
7.1. On November 27, 2026, at 20:00, during a live online broadcast on the official YouTube channel of River Mall Shopping and Entertainment Center, potential Winners of the three Prizes will be selected sequentially from verified Unique Numbers using a randomizer service.
7.2. The same Unique Number cannot be selected more than once. One Participant may receive more than one of the three Prizes if different duly registered Unique Numbers belonging to that Participant are selected as winning numbers.
7.3. The live online draw will be broadcast on the official YouTube channel of River Mall Shopping and Entertainment Center.
7.4. After a potential Winner is selected, the Organizer will make two attempts to call the telephone number provided during registration, with a one-minute interval between attempts. If the call is not answered, another potential Winner will be selected.
7.5. To confirm entitlement to a Prize, a potential Winner must, within 10 (ten) minutes of the Organizer’s telephone call, provide: a photograph or electronic copy of the original relevant Fiscal Receipt; confirmation of the Unique Number in the River Mall mobile application; photographs or electronic copies of an identity document and the registration number of the taxpayer’s record card (RNOKPP). The Organizer will specify a secure channel for transmitting the documents during the call. Failure to provide the documents within the prescribed period will result in application of Clause 7.6 of these Rules.
7.6. If a potential Winner does not comply with these Rules, fails to provide the documents or declines the Prize, the Organizer will randomly select another potential Winner.
7.7. Following verification of the Participants’ compliance with these Rules, the draw results will be recorded in a protocol prepared by the Organizer. Notarial certification of the protocol is not required.
7.8. Once entitlement to a Prize is confirmed, the Organizer will individually agree with each Winner on the date, time, place and procedure for delivery of the relevant smartphone. All three Prizes must be delivered to the Winners no later than 14 (fourteen) calendar days after the draw, that is, by December 11, 2026, inclusive. Delivery shall be documented by a handover and acceptance certificate.
7.9. The draw results will be published on the official website and/or social media pages of the Shopping and Entertainment Center.
7.10. Prizes shall be taxed in accordance with applicable Ukrainian law. The Promotion Organizer — Limited Liability Company “PROFI EDS” (ТОВ «Профі Едс») — acts as the tax agent and ensures the calculation and payment of the applicable taxes and levies related to the award of the Prizes.

8. Disclaimers and Restrictions
8.1. Only verified and approved registrations are eligible for the draw. The Organizer may deny participation in cases of false information, falsification or violation of these Rules.
8.2. The right to participate or receive a Prize may not be transferred to another person.
8.3. A Winner’s name and image may be used in informational materials only in compliance with personal data protection laws and image rights.

9. Rights and Obligations of the Organizer
9.1. The Organizer is responsible for verifying Receipts, compiling the register, conducting the random selection of potential Winners and verifying their entitlement to the Prizes.
9.2. In the event of technical failures of the River Mall mobile application, the parties’ liability shall be determined by the agreements between the Client, Organizer and technical contractors.
9.3. In the event of air raid alerts, shelling, emergency power outages, communication failures, the declaration of a Day of Mourning or other force majeure circumstances, the date and time of the draw may be changed, with notice posted on the official communication channels of the Shopping and Entertainment Center.

10. Final Provisions
10.1. Participation in the Promotion constitutes acceptance by the Participant of the published version of these Rules.
10.2. These Rules may be amended in accordance with applicable law, and amendments will be published on the official communication channels of River Mall Shopping and Entertainment Center.
10.3. Disputes relating to the Promotion shall be resolved in accordance with the procedure established by Ukrainian law.
10.4. The Promotion is not a lottery or a game of chance; no separate fee is charged for entry into the prize draw.

11. Personal Data
11.1. Participants’ personal data (including full name, telephone number, email address and purchase details) will be processed to the extent necessary for registration, Receipt verification, Winner selection, Prize delivery and compliance with legal requirements.
11.2. Identity document details and taxpayer registration numbers (RNOKPP) of potential Winners will be requested only to the extent necessary for identification, documentation and taxation of the Prizes.
11.3. Informational and promotional communications not necessary for conducting the Promotion will be sent only where there is a separate appropriate legal basis.
11.4. The Client and Organizer shall ensure the processing and protection of personal data in accordance with the Law of Ukraine “On Personal Data Protection”.

12. Liability of the Parties
12.1. The Client and Organizer shall perform their respective functions and bear liability within the scope of these Rules and the agreement on organizing and conducting the Promotion.
12.2. The Organizer is responsible for purchasing the three iPhone 18 Pro smartphones with 256 GB of storage in Burgundy, Black and Glacier; moderating and verifying Receipts; organizing the live YouTube broadcast; selecting and verifying Winners; documenting the results; delivering all Prizes no later than December 11, 2026; and fulfilling the duties of a tax agent.
12.3. The Client shall ensure the agreed financing of the Prizes and the operation of the required mobile application infrastructure through designated responsible persons.
12.4. The Organizer shall ensure the purchase, storage, documentation and delivery of the Prizes, as well as compliance with its tax agent obligations under applicable Ukrainian law.
